1) Agreement to Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“you”) and Cork & Cask (“Cork & Cask,” “we,” “us,” or “our”) governing your access to and use of https://corkandcask.com and any related pages, newsletters, membership portal, or online services (collectively, the “Site”).

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site.

We may update these Terms from time to time. We’ll post the new effective date above. Your continued use of the Site after updates are posted constitutes acceptance of the revised Terms.

Alcohol & age: Our services relate to alcohol. The Site is intended for users 21 years of age or older. You must be 21+ to create an account, join a club, RSVP to tastings, purchase tickets, or otherwise participate in alcohol-related activities.

You are responsible for complying with local laws where you access the Site.

2) Intellectual Property

Unless otherwise noted, the Site, including all content, text, images, logos, graphics, and code (the “Content”) and our trademarks and logos (the “Marks”) are owned by or licensed to Cork & Cask and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from the Site, Content, or Marks without our prior written consent.

3) User Accounts & Representations

To use certain features, you may need an account. Keep your login confidential; you are responsible for all activity under your account.

By using the Site you represent and warrant that:

  • you are 21+;
  • you have legal capacity and agree to these Terms;
  • the information you provide is accurate and will be kept current;
  • you will not use automated means (bots, scrapers) to access the Site;
  • your use will comply with all applicable laws and these Terms.

We may suspend or terminate your account if information is inaccurate or these Terms are violated.

4) Prohibited Activities

You agree not to, among other things:

  • collect data from the Site for a database or directory without written permission;
  • create accounts by automated means or under false pretenses;
  • advertise or sell goods/services on the Site without our consent;
  • bypass, disable, or interfere with security or access controls;
  • reverse engineer, decompile, or otherwise access the Site’s source code;
  • upload malware or engage in activity that disrupts the Site;
  • harass, threaten, or harm others;
  • use the Site to compete with us or for any unlawful purpose.

We may monitor and enforce these prohibitions at our discretion.

5) User Content & Reviews

If the Site allows you to post content, comments, photos, reviews, or other materials (“Contributions”):

You represent and warrant you own or have rights to your Contributions; they do not infringe others’ rights; and they are lawful, accurate, and not abusive, harassing, hateful, obscene, or misleading.

By submitting Contributions, you grant Cork & Cask a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, display, reproduce, adapt, and distribute your Contributions in connection with operating, promoting, and improving the Site. You retain ownership of your Contributions.

We may edit, remove, or refuse any Contribution at our discretion and have no obligation to monitor.

Reviews must reflect your honest, firsthand experience; may not contain profanity, hate speech, illegal content, or false/misleading statements; and you may not post reviews if you are affiliated with a competitor in a way that creates a conflict.

The Site may link to third-party websites, embeds, or services (e.g., maps, ticketing, payment processors). We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

7) Payments & Event Policies

Paid memberships and event tickets are processed by Stripe or other processors we designate. By purchasing, you agree to their terms. Event admission and alcohol service require valid government ID showing 21+. Event policies (refunds, reschedules, guest rules) may be listed on the event page and apply in addition to these Terms.

8) Site Management

We may:

  • monitor the Site for violations;
  • restrict or terminate access for any user;
  • remove content that is unlawful, excessive, or burdensome;
  • modify or discontinue all or part of the Site without notice.

We are not liable for any modification, suspension, or discontinuation.

9) Privacy

Your use of the Site is also governed by our Privacy Policy: https://corkandcask.com/privacy. By using the Site, you consent to our data practices as described there. The Site is hosted in the United States; by using it, you consent to processing in the U.S.

10) DMCA Notice

We respect intellectual property rights. If you believe content on the Site infringes your copyright, send a DMCA notice to our designated agent:

11) Term & Termination

These Terms remain in effect while you use the Site. We may, in our sole discretion and without notice, terminate or suspend your access (including blocking IPs) for any reason, including violation of these Terms or law. If terminated, you may not create a new account without our permission. We may also pursue legal remedies.

12) Modifications & Interruptions

We may update, change, or remove content on the Site at any time. The Site may experience outages or interruptions. We are not liable for any loss or inconvenience caused by downtime.

13) Governing Law; Dispute Resolution

These Terms and your use of the Site are governed by the laws of the State of Missouri, without regard to conflict-of-law rules.

Venue / Courts. If a dispute proceeds in court, exclusive venue and jurisdiction lie in the state and federal courts located in Boone County, Missouri, and you consent to such jurisdiction and venue.

Informal resolution. Before filing a claim, the parties will attempt to resolve disputes informally by written notice and 30 days of good-faith negotiations.

Binding arbitration; class-action waiver. Except for claims that qualify for small-claims court or injunctive relief for IP or unauthorized access, any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in Boone County, Missouri (or by video/teleconference as agreed). YOU WAIVE THE RIGHT TO A JURY TRIAL. Arbitration shall be on an individual basis only—no class, collective, or representative proceedings. Either party may seek a court order to compel arbitration, stay litigation, or confirm/vacate an award. Any claim must be brought within 1 year after it accrues.

14) Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORK & CASK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORK & CASK AND ITS OWNERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE.

IN ALL CASES, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE APPLICABLE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16) Indemnification

You agree to defend, indemnify, and hold harmless Cork & Cask and our affiliates, and our respective officers, directors, employees, and agents, from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to: (i) your Contributions or misuse of the Site; (ii) your breach of these Terms; or (iii) your violation of any law or third-party rights.

17) User Data

We may maintain data you transmit for purposes of operating the Site. You are solely responsible for backing up your data. We are not liable for loss or corruption of such data.

18) Electronic Communications & Signatures

By using the Site, sending emails, or completing forms, you consent to receive electronic communications from us and agree that such communications satisfy legal requirements for written notice. You consent to electronic signatures and records in connection with your use of the Site.

19) California Users

If a complaint is not resolved, you may contact the Consumer Affairs Division of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, (800) 952-5210.

20) Miscellaneous

These Terms, together with any policies posted on the Site (including our Privacy Policy), constitute the entire agreement between you and Cork & Cask regarding the Site. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. We may assign our rights and obligations at any time. No joint venture, partnership, or agency relationship is created by your use of the Site. These Terms will not be construed against the drafter.
